Terms of Service

01Who we are

Twicely (“Twicely”, “we”, “us”) is operated by Viktoriia Lipskaia, a sole trader (self-employed) registered in the Republic of Cyprus, at Anafis 9, 6014 Larnaca, Cyprus. You can reach us at hello@twicely.ai.

These Terms of Service (“Terms”) are an agreement between you and us. By creating an account or using Twicely at twicely.ai (the “Service”), you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.

02The Service

Twicely helps creators turn their Instagram Reels into posts for Threads. When you connect your accounts, Twicely brings in your reels, transcribes what you said, drafts posts in your voice with the help of AI, and lets you edit, publish or schedule them on Threads.

Features marked “Soon” on our website are not available yet. We may add, change or remove features over time. If we remove a core feature of the paid plan you're on, we'll tell you in advance, and you can cancel and get a refund for the unused time.

03Your account

• You must be at least 18 years old and able to enter into a binding contract.
• You can sign up with Google or with email. Give us accurate information and keep your login secure.
• You're responsible for everything done under your account. Tell us right away if you think someone else has access to it.
• One account is for one person. The Studio plan lets you add team members and several accounts, as shown on our pricing page.

04Connecting Instagram and Threads

• To use the Service, you connect an Instagram professional account (Creator or Business) and a Threads account through Meta's official login. We never see or store your passwords.
• By connecting, you allow us to access the data described in our Privacy Policy and to publish to your Threads account. We publish only when you click Publish, or when a post you scheduled is due.
• You can disconnect at any time in Twicely or in your Instagram and Threads settings. Some features stop working after you disconnect.
• You must follow the terms and community guidelines of Instagram and Threads. Meta can change, limit or stop its APIs at any time. When that affects the Service, we'll do our best to adapt, but we can't promise uninterrupted access.
• Twicely is an independent product. It is not affiliated with, endorsed by or sponsored by Meta Platforms, Inc., Instagram or Threads.

05Your content

• Your reels, transcripts, drafts and published posts are yours (“Your Content”). We claim no ownership of them.
• You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, transcribe, analyze, adapt and publish Your Content, only as needed to provide the Service to you. This license ends when you delete Your Content or your account, except for posts already published on Threads and copies the law requires us to keep.
• We don't sell Your Content, and we don't use it in our marketing without your permission.
• You confirm that you have the rights to Your Content and that publishing it won't break any law or anyone else's rights.

06AI-generated drafts

• Drafts are generated by AI from what you said. They can contain mistakes, miss context, or resemble content that others create.
• Always review a draft before you publish it. You are responsible for everything you publish.
• We don't promise any particular results, such as followers, views, engagement or revenue.

07Acceptable use

You agree not to use the Service to:

• break any law or regulation;
• publish content that infringes anyone's rights, or that is hateful, harassing, deceptive or sexually explicit;
• send spam, including mass or repetitive replies, or anything else that breaks Threads' rules on authentic behavior;
• impersonate anyone or misrepresent who you are;
• access the Service by automated means, scrape it, reverse engineer it, or get around its limits or security;
• resell or sublicense the Service without our written permission.

We may remove content or suspend accounts that break these rules.

08Free trial

You can publish a limited number of posts for free (currently 10 Threads posts) without adding a payment method. We may change or end the free trial at any time. Changes won't affect posts you've already published.

09Subscriptions and payments

• Paid plans are billed monthly or yearly, in advance, in US dollars, at the prices shown on our pricing page when you buy. Taxes are added where the law requires.
• Subscriptions renew automatically at the end of each billing period until you cancel.
• You can cancel anytime in Settings. Cancellation takes effect at the end of the current billing period. You keep access until then and won't be charged again.
• Plan limits, such as posts per month, reset each billing period and don't roll over.
• Payments are processed by our third-party payment provider. We never see or store your full card number. If our provider acts as the seller of record (merchant of record), its name may appear on your statement and its buyer terms also apply to your purchase.
• If we change our prices, we'll tell you at least 30 days before the change applies to your next renewal.
• If a payment fails, we may pause paid features until it's resolved.

10Refunds

If Twicely isn't right for you, email us within 30 days of your first payment for a plan, monthly or yearly, and we'll refund that payment in full. No questions asked. The guarantee applies once per customer.

After that, renewal charges aren't refundable, except where the law requires. One exception: if your yearly plan renewed and you forgot to cancel, email us within 7 days of the charge. If you haven't used Twicely since, we'll refund it in full.

To request a refund:

1. Email hello@twicely.ai from the address on your Twicely account, with the subject “Refund”.
2. We confirm your request within 2 business days.
3. The refund goes back to your original payment method, usually within 5–10 business days.

If our payment provider acts as the seller of record (merchant of record), it issues the refund and its name appears on your statement. We may decline a refund in cases of abuse, such as repeated sign-ups to collect refunds, or if the account was closed for breaking these Terms.

If you're a consumer in the EU or UK, you have a 14-day right to withdraw from a purchase of digital services. By starting a paid plan right away, you ask us to begin the service within that period. Our 30-day guarantee gives you at least the same protection.

11Ending your use

• You can stop using the Service and delete your account at any time. See Delete your data in our Privacy Policy for how.
• We may suspend or end your access if you seriously or repeatedly break these Terms, if the law requires it, or if Meta requires it. If we end a paid subscription without such a reason, we'll refund the unused part.
• When your account is deleted, we delete your data as described in our Privacy Policy.

12Our intellectual property

The Service, including its software, design, and the Twicely name and logo, belongs to us and is protected by law. These Terms don't give you any rights to them beyond using the Service.

If you send us feedback or ideas, we may use them without any obligation to you.

13Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We don't guarantee that the Service will be uninterrupted or error-free, or that Meta's APIs will stay available.

14Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, followers or data.

Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim, or US$100 if you haven't paid us anything.

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence, and nothing here affects your mandatory rights as a consumer.

15Indemnity

To the extent permitted by law, you agree to cover our reasonable costs arising from claims brought by others about Your Content or about your breach of these Terms.

16Governing law and disputes

These Terms are governed by the laws of the Republic of Cyprus. Before starting any formal dispute, please email us at hello@twicely.ai so we can try to resolve it within 30 days.

Any dispute will be handled by the courts of Cyprus. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim there.

17Changes to these Terms

We may update these Terms. If a change is material, we'll tell you by email or in the app at least 14 days before it takes effect. If you keep using the Service after that, the updated Terms apply. If you don't agree, you can cancel before the change takes effect.
